### 1. Acceptance of Terms

By accessing **zengorithmtech.com** and using the services provided by Zengorithm Technologies Ltd. ("the Company"), you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of our services immediately.

 

### 2. Description of Services

Zengorithm Technologies specializes in:

 * Custom AI software development and Large Language Model (LLM) fine-tuning.

 * Autonomous agentic software suites for application engineering.

 * Consulting services for high-performance computing and server infrastructure.

 

### 3. Intellectual Property Rights

 * **The Platform:** All code, branding, logos, and proprietary algorithms (including the "Zengorithm" engine) are the exclusive property of Zengorithm Technologies Ltd.

 * **Client Deliverables:** Upon full payment, the specific custom software or fine-tuned models developed for a client will be governed by a separate Master Services Agreement (MSA).

 * **Open Source:** Any use of open-source frameworks (e.g., Mistral, Qwen, Axolotl) remains subject to their respective licenses (Apache 2.0, MIT, etc.).

 

### 4. User Obligations & Prohibited Use

You agree not to use our services to:

 * Reverse engineer or attempt to extract the source code of our proprietary AI models.

 * Deploy agentic software for malicious purposes, including automated cyberattacks or the creation of prohibited content.

 * Circumvent security measures on our Blackwell-based server infrastructure.

 

### 5. AI Output Disclaimer

 * **Nature of AI:** You acknowledge that AI-generated code and data are probabilistic. While we strive for high-fidelity engineering, the Company does not guarantee that AI-generated outputs will be 100% error-free or secure.

 * **Human Oversight:** Users are responsible for reviewing and testing any code generated by our autonomous agents before deployment in a production environment.

 

### 6. Limitation of Liability

To the maximum extent permitted by Canadian law, Zengorithm Technologies Ltd. shall not be liable for any indirect, incidental, or consequential damages—including loss of data, profits, or hardware failure—resulting from the use of our high-performance computing services or AI software.

 

### 7. Data Privacy & Security

We prioritize data sovereignty. Any data processed through our private server infrastructure is handled according to our **Privacy Policy**. We do not use client-specific data to train our base models unless explicitly agreed upon in writing.

 

### 8. Governing Law

These Terms are governed by and construed in accordance with the laws of the **Province of British Columbia** and the federal laws of **Canada** applicable therein.

 

### 9. Modifications

We reserve the right to update these terms at any time. Continued use of the website or our services after changes are posted constitutes acceptance of the new terms.
